This Conflicts of Interest Policy sets out the principles and practices by which ABC identifies, avoids, and manages actual or potential conflicts of interest in connection with its corporate finance and strategic advisory engagements.
This policy applies to all partners, employees, consultants, and representatives of ABC.
1. Single-Party Representation
ABC adopts a strict single-party representation model.
For any particular transaction, mandate, or engagement, ABC acts exclusively for one client only and does not advise, represent, or act on behalf of any counterparty to the same transaction, whether directly or indirectly.
ABC does not undertake “dual-mandate,” “two-sided,” or conflicted advisory roles in respect of the same transaction or process.
2. Prohibition on Acting for Both Sides
To preserve independence and avoid conflicts:
ABC will not accept an engagement where it would be required to advise or represent both the buyer and the seller, or otherwise act for opposing parties in the same transaction.
ABC will not provide advisory services to any counterparty to an existing client engagement where such services could reasonably be expected to create a conflict of interest.
ABC will decline or terminate an engagement if a conflict arises that cannot be appropriately avoided or mitigated while maintaining exclusive representation.
3. Independence and Objectivity
ABC’s advisory services are provided on the basis of independent judgment and in the best interests of the client it represents in a given transaction. Our recommendations, analyses, and strategic advice are not influenced by relationships with counterparties, third parties, or other commercial considerations.
ABC does not structure its engagements in a manner that would compromise objectivity or create divided loyalties.
4. Engagement Acceptance and Ongoing Review
Prior to accepting any mandate, ABC undertakes an internal assessment to identify potential conflicts of interest, including:
existing client relationships,
current or prior engagements,
personal or financial interests of ABC personnel that may be relevant.
5. Disclosure and Transparency
Where relevant and appropriate, ABC will disclose to its client any actual or potential conflict of interest that may arise in connection with an engagement, together with the steps taken to avoid or manage such conflict.
